1. Acceptance of Terms
By downloading, installing, or using Bay Terminal ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.
2. License Grant
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to use Bay Terminal for personal and commercial purposes.
The Software is provided as-is for your use. You may not reverse engineer, decompile, or attempt to extract the source code of the Software.
3. Permitted Use
You may use Bay Terminal to:
- Connect to remote servers via SSH
- Manage terminal sessions and commands
- Organize and access multiple server connections
- Use tmux for persistent sessions
4. Prohibited Use
You agree NOT to use Bay Terminal to:
- Access servers or systems without proper authorization
- Engage in illegal activities or violate any laws
- Transmit malware, viruses, or malicious code
- Interfere with or disrupt servers, networks, or other users
- Attempt to circumvent security measures of any systems
- Use the Software for unauthorized penetration testing or hacking
You are solely responsible for ensuring you have proper authorization to access any servers or systems you connect to using Bay Terminal.
5. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Title
- Quiet enjoyment
We do not warrant that the Software will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BAY TERMINAL, ITS DEVELOPERS, CONTRIBUTORS, OR AFFILIATES BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Business interruption or system failures
- Unauthorized access to or alteration of your data or servers
This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
7. Security and Data
Bay Terminal stores all data locally on your Mac. We are not responsible for:
- Loss of data due to hardware failure, user error, or software bugs
- Unauthorized access to your Mac or local data
- Security vulnerabilities in your SSH keys or server configurations
- Actions taken on remote servers using the Software
You are responsible for maintaining backups of your data and securing your SSH credentials.
8. Subscriptions and In-App Purchases
Bay Terminal offers optional in-app subscriptions for Pro features ("Pro Subscription"):
- Payment Processing: All subscription payments are processed securely by Apple through the Mac App Store
- Subscription Plans: Pro subscriptions are available on a monthly or annual basis
- Auto-Renewal: Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period
- Billing: Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current subscription period
- Price Changes: Subscription prices may change with notice. Changes will take effect at the start of the next subscription period after the price change
You can manage your subscriptions and turn off auto-renewal by going to your Account Settings in the App Store after purchase.
9. Cancellation and Refunds
Cancellation: You may cancel your subscription at any time through your App Store Account Settings. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until the end of the current billing period.
Refunds: All purchases are processed through Apple's App Store. Refund requests must be made directly to Apple in accordance with Apple's refund policies. Bay Terminal does not have access to process refunds.
No Partial Refunds: Subscriptions are non-refundable except where required by law. If you cancel mid-billing period, you will not receive a prorated refund.
10. Free Trial
Bay Terminal may offer a free trial period for Pro subscriptions. If a free trial is offered:
- The trial duration will be clearly stated before you subscribe
- You can cancel anytime during the trial period without being charged
- If you do not cancel before the trial ends, your subscription will automatically start and you will be charged the subscription price
- Free trials are available only once per Apple ID
11. AI API Keys (Bring Your Own Key)
When using Bay Terminal's AI Copilot feature with your own API keys:
- Your Responsibility: You are responsible for obtaining, managing, and paying for your own API keys from providers (OpenAI, Anthropic Claude, Google Gemini)
- Provider Terms: Your use of AI features is subject to the terms of service and usage policies of your chosen AI provider
- API Costs: You are responsible for all costs incurred from your API usage. Bay Terminal does not control or limit your API usage
- No Guarantees: We do not guarantee compatibility with any specific AI provider or API version
12. Third-Party Services
Bay Terminal may interact with third-party servers and services (e.g., your SSH servers, GitHub for updates, AI providers). We are not responsible for:
- Availability or performance of third-party services
- Terms of service or privacy policies of third parties
- Actions or data practices of server administrators
- Costs incurred from third-party API usage
13. Updates and Modifications
We may update the Software from time to time to add features, fix bugs, or improve security. Updates may be provided through the Mac App Store or other distribution channels.
We reserve the right to modify or discontinue the Software at any time without notice. We are not liable for any modification, suspension, or discontinuation of the Software.
14. Open Source
Bay Terminal incorporates open source software components. The licenses for these components are available in the Software's documentation and source code repository.
15. Indemnification
You agree to indemnify and hold harmless Bay Terminal, its developers, and contributors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Software
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Unauthorized access to servers or systems
16. Termination
These Terms are effective until terminated. Your rights under these Terms will terminate automatically if you fail to comply with any provision.
Upon termination, you must cease all use of the Software and delete all copies from your devices.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bay Terminal is developed, without regard to conflict of law principles.
18. Dispute Resolution
Any disputes arising from these Terms or your use of the Software shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or through the courts in the applicable jurisdiction.
19. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms constitute the entire agreement between you and Bay Terminal regarding the Software and supersede all prior agreements and understandings.
21. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page with an updated "Last Updated" date.
Your continued use of the Software after changes constitutes acceptance of the updated Terms.

23. Mac App Store and Apple EULA
If you download Bay Terminal from the Mac App Store, you also agree to Apple's Licensed Application End User License Agreement (EULA) and Mac App Store Terms and Conditions.
